Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RecoverWell ("we," "our," or "us") governing your access to and use of the RecoverWell platform, including our website, mobile application, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Account Registration and Security

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate your account if we suspect any unauthorized or fraudulent activity.

Use of the Service

Permitted Use

You may use the Service for your personal, non-commercial use to support your recovery journey, track your progress, connect with peers and support resources, access wellness tools, manage financial aspects of your recovery through RecoverWell Bank, and participate in the RecoverWell community in accordance with these Terms.

Prohibited Conduct

You agree not to use the Service to violate any applicable laws, regulations, or third-party rights; impersonate any person or entity or misrepresent your affiliation with any person or entity; interfere with or disrupt the Service or servers or networks connected to the Service; attempt to gain unauthorized access to any portion of the Service or any other systems or networks; upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; upload, post, or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights; use the Service to distribute spam, chain letters, or other unsolicited communications; harvest or collect information about other users without their consent; use any automated means (including bots, scrapers, or crawlers) to access the Service; or engage in any activity that could harm, disable, overburden, or impair the Service.

Content and Intellectual Property

Your Content

You retain ownership of any content you submit, post, or display on or through the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content in connection with operating and providing the Service. You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not violate any third-party rights or applicable laws.

Our Content

The Service and all materials, including software, images, text, graphics, logos, designs, and other content provided by us (collectively, "Our Content"), are owned by RecoverWell or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of Our Content without our prior written consent.

Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you. We may use your feedback to improve the Service or develop new features.

Third-Party Integrations

Oura Ring Integration

RecoverWell integrates with Oura Ring and other third-party health and wellness services. Your use of these integrations is subject to the terms and conditions of those third-party services, including the Oura API Agreement and Oura Service Terms. We are not responsible for the availability, accuracy, or functionality of third-party services. You acknowledge that we may access your data from these services only with your explicit consent and in accordance with our Privacy Policy and the Oura API Agreement.

Third-Party Services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party services.

RecoverWell Bank and Financial Services

RecoverWell Bank is a financial management feature within the Service that allows you to manage funds, make purchases in the RecoverWell Marketplace, and track financial wellness. RecoverWell Bank is not a licensed banking institution. All financial transactions are processed through third-party payment processors. You agree to comply with all applicable laws and regulations regarding financial transactions. We reserve the right to suspend or terminate your access to RecoverWell Bank if we suspect fraudulent activity or violation of these Terms.

You are responsible for maintaining sufficient funds in your RecoverWell Bank account to cover your transactions. We may charge fees for certain financial services, which will be disclosed to you before you complete a transaction. You agree to review and accept any applicable fees before proceeding with a transaction.

Disclaimers and Limitations of Liability

No Medical Advice

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE CONTENT PROVIDED THROUGH THE SERVICE, INCLUDING WELLNESS TRACKING, RECOVERY TOOLS, AND PEER SUPPORT, IS FOR INFORMATIONAL AND SUPPORT PURPOSES ONLY. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION OR TREATMENT. NEVER DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF SOMETHING YOU HAVE READ OR ACCESSED THROUGH THE SERVICE.

Emergency Situations

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY OR MENTAL HEALTH CRISIS, CALL 911 (IN THE UNITED STATES) OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. THE SERVICE IS NOT DESIGNED FOR EMERGENCY SITUATIONS AND SHOULD NOT BE USED AS A SUBSTITUTE FOR EMERGENCY SERVICES.

Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECOVERWELL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless RecoverWell and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any rights of another party, or your violation of any applicable laws or regulations.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, for any reason, including if we believe you have violated these Terms. You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service will immediately cease, and we may delete your account and all associated data. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the British Columbia International Commercial Arbitration Centre, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. If any provision of this arbitration agreement is found to be unenforceable, the remainder shall remain in full force and effect.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

Miscellaneous

These Terms constitute the entire agreement between you and RecoverWell regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. These Terms do not create any third-party beneficiary rights.
